D. Steven Yahnian has practiced as a California licensed Attorney since 1980, providing legal services in the specialties described on this web site.

We help our clients structure their business transactions, plan their estates, deal with the legal issues that arise in real property matters, plan for the minimization of taxes and defend them against the taxing authorities.

Success Stories
Tax Law Planning & Defense
  • Taxpayer was assessed substantial penalty for alleged failure to file magnetic version of w-2s with Social Security Administration. IRS asserted failure to file penalties as a result. Yahnian Law Corporation advocacy based upon SSA computer failure to read client disk, not client, was the cause. IRS abated the penalty in full.
Estate Planning & Administration
  • We have prepared Medi-Cal applications to qualify our clients for state paid nursing home care while preserving assets for the well spouse to live on.
Business, Individual and Consumer Law & Planning
  • Client had his identity stolen. Thief ran up debts against client and in client's name. We obtained relief from these debts for the client, fought credit collection agencies and their harassment of client, and helped client restore his credit, avoiding bankruptcy.
Tax Law Planning & Defense
  • IRS disallowed over $1,500,000 in deductions on a farmer's tax returns. Farmer's CPA referred the farmer to this office. Pursuant to the filing of a US Tax Court petition and advocacy by this office on behalf of farmer, IRS reduced the assessment to under $100,000.

  • We have prepared numerous trademark applications and licensing agreements as preemptive measures for clients creating a valuable asset for later sale.
Estate Planning & Administration
  • Advised client on the formation and organization of a new entity to conduct business. Asset preservation became important later when business liabilities resulted. Client's personal assets were protected in a way they would not have been if client had proceeded without the assistance of Yahnian Law Corporation.
Real Estate Law & Planning
  • Representation of clients in negotiating and maximizing sales price of real properties and indemnity against hazardous waste exposure.

  • Business client had been accused of false advertising and other violations of state law by the District Attorney's office. The DA was so certain of victory they alleged that the only issue left was how much the penalties would be. Yahnian Law Corporation was retained at that point and convinced the DA's office to concede the case.
Estate Planning & Administration
  • Client, a surviving spouse,  came to us with a botched Living Trust estate plan prepared by another law firm, after her husband died. They had been hoodwinked by a financial services firm into buying a cheap living trust as well as expensive (high commission), non necessary annuities. We reviewed and analyzed the plan, then, based on that review and analysis prepared documents to modify and repair the estate plan, thereby saving the surviving spouse anxiety and later problems.

  • Assisted client in negotiation of real property lease agreement. Original lease prepared by the tenant contained significant exposure of landlord client. Through renegotiation and preparation of new lease fairer to Landlord, Landlord obtained better rent and protections lacking in tenant's proposed lease.

  • Trademark dispute involving valuable trade name. Larger company had challenged client's registration of trademark before the United States Trademark and Appeals Board. With Trademark specialist co-counsel, we obtained a favorable result for client.
Real Estate Law & Planning
  • Numerous transactions involving proper planning and implementation of tax free exchanges of real property, saving clients millions of dollars in taxes.
Estate Planning & Administration   
  • Prepared a family business estate plan that stood up to IRS challenge in U.S. Tax Court, thereby saving decedent's family 1.5 million dollars in estate taxes.
Tax Law Planning & Defense
  • In a case of gaining victory in what looked like certain defeat to the client, the client, facing a daunting $150,000 EDD assessment as a 'responsible person' of the corporate employer (that did not pay over payroll taxes), was found not liable by the administrative judge, after the administrative hearing.

  • The Client had been assessed $350,000 in payroll taxes and an SBA loan default. Through Offers in Compromise with each governmental agency prepared and submitted by Yahnian Law Corporation, the amount that was settled for and paid totaled $36,000. The matter closed. Client got his life back.

  • A CPA had represented a client on a U.S. Tax Court matter against the IRS. Just prior to the time of trial, the CPA and client hired Yahnian Law Corporation to take over the matter scheduled for trial in less than a week. Tax liability reduced by 50%.

  • Representation of clients in negotiating and maximizing sales price of real properties and indemnity against hazardous waste exposure.

  • We have successfully handled dozens of business sales and acquisitions, maximizing or minimizing the price, as the case may be, to benefit the client.

  • California State Board of Equalization assessed purchaser of motor home use taxes from purchase of RV that was to be used out of state. We obtained complete exoneration of tax assessment. Client owed nothing.

  • Preparation of numerous business succession plans for clients seeking to transfer family business to children, provide for children not active in the business, and also to minimize taxes.

  • On a Medi-Cal qualification issue, Yahnian Law Corporation planned and qualified an incapacitated spouse for Med-Cal when other lawyers told the well spouse it could not be done.
